These Terms of Service (“Terms”) govern your access to and use of the website https://zipommdealers.com (the “Site”) and any related services provided by Zipommy Dealers (“we”, “our”, “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance of Terms

By creating an account, submitting a request, or otherwise interacting with the Site, you affirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Services Provided

We specialize in designing, developing, and delivering native Android applications and mobile games. Specific project scope, timelines, pricing, and deliverables are defined in individual contracts or proposals (“Project Agreement”). These Terms apply to the use of the Site itself; the Project Agreement governs the actual development work.

3. User Obligations

• You must provide accurate, complete, and up‑to‑date information when contacting us or creating an account.
• You are responsible for maintaining the confidentiality of any login credentials you receive.
• You may not use the Site for unlawful activities, to transmit malware, or to infringe upon the intellectual property rights of others.
• You agree not to scrape, harvest, or otherwise extract large amounts of data from the Site without our prior written permission.

4. Intellectual Property

• All content on the Site—including text, graphics, logos, and code—is owned by Zipommy Dealers or its licensors and is protected by copyright, trademark, and other laws.
• Except as expressly granted in a Project Agreement, you receive no ownership rights to any source code, designs, or assets created by us.
• You may use the delivered assets solely for the purpose outlined in the Project Agreement.

5. Payment & Billing

Payment terms are detailed in each Project Agreement. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may incur interest at the maximum rate permitted by applicable law.

6. Termination

• Either party may terminate a Project Agreement in accordance with its termination clause.
• We reserve the right to suspend or terminate your access to the Site for violations of these Terms, illegal activity, or non‑payment of fees.
• Upon termination, any outstanding fees become immediately due, and you must cease use of any proprietary materials belonging to us.

7. Disclaimer of Warranties

The Site is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non‑infringement. We do not guarantee uninterrupted or error‑free operation.

8. Limitation of Liability

To the fullest extent permitted by law, Zipommy Dealers shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site or any services rendered, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us under the applicable Project Agreement during the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Zipommy Dealers, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or your use of the Site.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to conflict‑of‑law principles. Any dispute arising under or in connection with these Terms shall be resolved exclusively by the courts located in Zurich, Switzerland.

11. Changes to the Terms

We may revise these Terms from time to time. Updated versions will be posted on this page with a revised “Effective date.” Continued use of the Site after changes constitute your acceptance of the new terms.
